PACA Steering Committee Meeting, Monday, May 19, 2008, 5pm
Chewelah City Hall, Council Chambers, 301 E. Clay St. Chewelah, WA 99109

Present: Sharon Ludwig, Louise Glenn, Dave Ferre, Tracey Rice, Jessica Sety, Joe Wulczynski, Tom Bristol, Don McLaughlin, and Bud Evans

1. Sharon gave a financial report. We have $1977.17.

2. We have been invited to attend Kiwanis Wednesday to talk about PACA. Sharon and Tracey will go.

3. Voting on the PACA Logo was tabled to a future meeting.

4. Joe and Tracey will set up our display at the Park Ave Players shows this weekend. Don and Tom will handle the yard sale. And Don will take care of a display at the Northern Music and Dance Festival June 21. Louise has the display. She’ll get it to Joe.

5. Dave gave a yard sale report. We have a lot of stuff for the sale. He needs helpers Friday morning to help with loading and unloading things that are to be moved from the Community Celebrations building to the Shop building for the sale. (If anyone can spare any time during that day please show up. We need you.) Helpers will then be needed to help price, organize, etc. They will start at 7am and work through 7pm on Friday, May 23rd.

6. Tom reported on the plans for the building. He had questions about what the group felt were important items in the first phase and what can be included in later building phases. He will work on plans that show the separate phases.

7. Don reported on the by laws and incorporation. Louise will be filing the letters of incorporation with the state. A founding Board of Directors is needed for this process. Don suggested the following:

Don McLaughlin to serve as the executive director (not a board member)

President – Sharon Ludwig
Vice President – Jessica Sety
Secretary – Dave Ferre
Treasurer – Louise Glenn (Finance Committee Chairman)
Board member at large – Joe Wulczynski (Building and Grounds Chairman)
Board member at large – Tracey Rice (Production Chairman)
Board member at large – Bud Evans (Fund drive Chairman)
Board member at large – Kathy Childs (Volunteer committee Chairman)
Board member at large – tbd

We will vote on accepting the bylaws and the board at the next meeting. The bylaws specify 7 to 9 board members. (If you would like to vote or even run for a board position, please come to the next steering committee.)

Prospective board members are to bring a biography and /or resume to the next meeting. A biography of each board member needs to be submitted for the letters of incorporation with the state of Washington.

We decided to use American West Bank as our initial bank.

8. Our next meeting will be May 27th at 5:30pm at the Community Celebrations building.
